JobBliss – Additional Terms of Service

All capitalized terms used herein that are not otherwise defined herein shall have the meanings ascribed thereto in the standard JobBliss Terms and Conditions.
This is a binding contract between you and JobBliss that governs this transaction. It is important that you read, understand, and agree to this entire document, as it defines and limits your rights and responsibilities with respect to posting Opportunities and accessing the Little Black Book (defined below).
"Little Black Book" means the non-public database platform offered by JobBliss that assists Companies with managing their freelancer bookings and contacts.
JobBliss reserves the right, at its sole discretion, to modify these Additional Terms, including the Service Fees, at any time and without prior notice. If we modify these Additional Terms, we will post the modification on the Site or provide you with notice of the modification. We will also update the "Last Updated Date" at the top of these Additional Terms. By continuing to access or use the Site or Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Additional Terms. If the modified Additional Terms are not acceptable to you, your only recourse is to cease using the Site and Services.
You may only submit postings for Opportunities with your company. Recruitment firms, employment agencies, headhunters, or any other similar firms (or their employees, contractors, or agents) are prohibited from using the Site and Services. In addition, you may not resell or transfer access to JobBliss to any other party. Your account is for your express use only and not transferable to anyone else.
Content of Postings
You may edit or remove your posting at any time. Each posting is for one (1) Opportunity; it is not permitted for one posting to solicit applications for more than one Opportunity. Postings without a reasonable and legitimate intent to hire for the specific Opportunity listed are prohibited. Postings that intentionally misrepresent the Opportunity are prohibited.
You agree not to use JobBliss to create an advertisement or advertise a position that that would be a violation of the law in your state or country, the state or country where the job is to be performed, or the province of Ontario.
Termination of Postings
Postings automatically expire on the expiration date, which is set to 30 days from the date of posting. JobBliss reserves the right to remove any posting at any time, with or without cause. If JobBliss removes the posting with cause (due to a violation of the Terms or the Additional Terms, or any other supplemental governing contract), you will not receive a refund. If JobBliss chooses to remove a posting without cause, you will receive a refund, prorated by the number of days (of 30) that the posting appeared on the Site.
Termination of Little Black Book Access
Access to the Little Black Book will automatically expire on the expiration date, which is set according to the plan you select when purchasing the subscription. JobBliss reserves the right to terminate access to the Little Black Book at any time, with or without cause. If JobBliss terminates access to the Little Black Book with cause (due to a violation of the Terms or the Additional Terms, or any other supplemental governing contract), you will not receive a refund. If JobBliss chooses to terminate access to the Little Black Book without cause, you will receive a refund, prorated by the number of days that access was permitted.
Communication of Your Name and Trade-mark
You are, by posting, granting JobBliss a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, and communicate the name and trade-mark of your organization as a poster of Opportunities on JobBliss.
JobBliss does not guarantee the results or distribution of any posting in any manner. JobBliss will not be liable for any damages under any circumstances that result from any posting or application via JobBliss, whether to you or any other Member.
Candidates’ applications are confidential to the Companies to which they have applied. It is strictly prohibited to provide identifiable candidate resume or application data to any other parties or to contact the candidate for any unauthorized purposes.
You may not assign or transfer these Additional Terms, by operation of law or otherwise, without JobBliss’s prior written consent. Any attempt by you to assign or transfer these Additional Terms, without such consent, will be null and of no effect. JobBliss may assign or transfer these Additional Terms, at its sole discretion, without restriction. Subject to the foregoing, these Additional Terms will bind and inure to the benefit of the parties, their respective heirs, administrators, executors, legal personal representatives, successors and permitted assigns.
Any notices or other communications permitted or required hereunder, including those regarding modifications to these Additional Terms, will be in writing and given by JobBliss (i) via email (in each case to the address that you provide); or (ii) by posting to the Site. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
This Agreement is governed by and interpreted and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Each party hereto irrevocably attorns and submits to the jurisdiction of the Ontario courts situated in the City of Toronto and waives objection to the venue of any proceeding in such court or that such court provides an inconvenient forum.
The failure of JobBliss to enforce any right or provision of these Additional Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of JobBliss. Except as expressly set forth in these Additional Terms, the exercise by either party of any of its remedies under these Additional Terms will be without prejudice to its other remedies under these Additional Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Additional Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Additional Terms will remain in full force and effect.
